CONTEST RULES
No Purchase Necessary To Enter or Win. Limit one entry per band. All subsequent entries from a single band will be void. ENTRANCE ELIGIBILITY LIMITED TO 5 BAND MEMBERS Eligibility: This contest is being offered only in the metropolitan area of each of the following cities: Atlanta, Austin, Baltimore, Chicago, Cleveland, Dallas, Denver, Honolulu, Houston, Las Vegas, Maui, Memphis, Miami, New York, Orlando, Philadelphia, Phoenix, Pittsburgh, Sacramento and San Francisco. Contest is open only to amateur rock and alternative rock bands. Competing musicians cannot currently be under any professional recording contract. All band members must be legal residents of the 50 United States including the District of Columbia. All band members must be at least 21 years of age and, if selected to compete in the contest, must provide proof of age and must be willing to perform, without compensation, on a specific date(s) and time(s) in the competition at the local Hard Rock Cafe in their area. If selected as the winner, all band members must be available to travel to Cabo San Lucas, Mexico to perform at A Shot at the Cabo Wabo/Cabo Wabo Meltdown on October 8-9, 2004 dates subject to change. Transportation for band members, their sound equipment and instruments to/from the local Hard Rock Cafe gigs and all expenses associated therewith will be the sole responsibility of the band members. Employees of Hard Rock Cafe International (USA), Inc. and Cabo Wabo Cantina (hereinafter collectively the “Sponsors”), the local participating radio stations and each of their respective parent companies, affiliates, subsidiaries, retail locations, distributors, suppliers, advertising and promotion agencies and their immediate family members, are not eligible. Contest is subject to all federal, state and local laws and is void where prohibited or restricted by law. To Enter: Bands can enter by submitting the necessary entry materials on-line at Sonicbids, in person at their local Hard Rock Cafe venue or by mail. Please see chart of Hard Rock Cafe addresses and manager names below. ENTRY MATERIALS: Deadline for all submissions is Saturday, March 25, 2004 at 10:30 a.m. To enter, you must submit a CD recorded by your band, on which the band plays an original musical composition and lyrics (music and lyrics must be written and owned by a member or members of the band and recording must be owned by a member or members of the band) along with complete the Official Registration Form. The music submitted cannot have been previously published by a song writer outside of band members performing. Modification of an existing work does not qualify as original. Sponsors and their affiliates are not responsible for lost, late, damaged, illegible, incomplete entries or for any mail or delivery related to this contest. Selection Process: By March 29, 2004, a maximum of 12 bands will be selected by authorized representatives at each local Hard Rock Cafe venue. Bands will be selected based on the following criteria: originality of music and lyrics (0-25 points); appeal of pop/rock style (0-25 points); quality of musicianship (0-25 points); and overall technical presentation as demonstrated by the CD submitted (0-25 points). The selection process and application of the above criteria will be at Sponsors’ sole discretion. If Selected to Perform: Each band selected will be assigned a night on which they will compete at their local Hard Rock Cafe. Each member of each band selected to perform will be required to execute a A Shot at the Cabo Wabo Engagement Agreement that must be returned before the band will be permitted to perform in each round of the competition. Sponsors reserve the right to verify any entrant’s eligibility and the right to disqualify any participating band that violates Sponsors’ policies or rules. Non-compliance with any of the foregoing may result in disqualification of the entire band. For each of the 20 participating Hard Rock Cafe venues there will be 3 nights (1 per week) on which no more than 4 selected bands will perform in the first round of the competition. Each band will have a total of 15 minutes to set up their equipment and 30 minutes to play their compositions. The majority of each band’s set must consist of original material. Sponsors reserve the right (in their sole discretion) to disqualify any band that performs primarily cover material during the competition. Members of the audience will vote by text message or ballot for the band of that evening that will progress to the second round. Ballots will be counted and judged at the conclusion of all the bands’ sets by authorized representative(s) of participating local radio station(s) (if applicable) and Hard Rock Cafe. The 3 bands selected (“Semi-Finalists”) (1 from each of the 3 first rounds at each Hard Rock Cafe) will return to the same location on the date specified in the chart above, to set up for 15 minutes and play a total of 30-45 minutes. For the 3 bands playing in each of the venues during the second round, the voting process will be a combination of audience voting and voting from a panel of judges. First, members of the audience will vote by text message or ballot for their respective favorite band. Second, a panel of (3-5) industry professionals will vote for their favorite band. Audience voting will account for 60% of the vote and the industry representatives will account for 40% of the vote. Ballots will be counted and judged at the conclusion of the bands’ sets by Sponsors’ authorized representative(s). The winning bands at this stage of the competition shall be deemed the “Finalists”. An original song of each Finalist bands will then be made available on the Hard Rock Cafe website, www.hardrock.com, beginning May 12, 2004 and ending September 13, 2004 (this time period is subject to change - please check the website for specific voting information). After listening to each band’s sound bytes, visitors to the site will vote online for the five (5) Finalist bands. There is a limit of one vote per individual. All subsequent votes received from one individual will be void. Votes will be tallied by Hard Rock Cafe representatives. In the event of a tie, the Finalists will be decided by Hard Rock Cafe representatives on the basis of general appeal (0-100 points). The five Finalists receiving the highest number of votes shall be presented to a celebrity/industry judging Panel (“Panel”). One additional band will be chosen as the ‘Wild Card’ based on their creative promotional efforts and participation in the Band Ambassador program. The six Finalist bands will be announced September 15, 2004. The Panel will select the Grand Prize Winner from these final (6) bands. The Grand Prize Winner band’s name will be announced on September 21, 2004 on any participating local radio station as well as online at www.hardrock.com. Sponsors and their affiliates assume no responsibility for inaccurate entry or contest related information or for interrupted or unavailable network, server or other connections, miscommunications, computer or software malfunctions, telephone transmission problems or technical failures, garbled transmissions, damage to a user's computer equipment (software or hardware) or other errors or malfunctions of any kind whether caused by equipment, programming used in this contest, mechanical or electronic problems, human error or otherwise. Any attempt by an entrant or voter to deliberately damage any web site or undermine the legitimate operation of this contest is a violation of criminal and/or civil laws and should such an attempt be made, Sponsors reserve the right to disqualify relevant entrant or vote(s) submitted and seek damages and other remedies to the fullest extent permitted by law. Sponsors reserve the right, in their sole discretion, to void entries or votes for any reason including if they believe they are suspect or to modify, cancel, terminate or suspend this contest (or any portion of this contest) should virus, bugs, non-authorized human intervention or other causes beyond the control of Sponsors corrupt or impair the administration, security, fairness or proper play of the contest and, in any such event, select winner from all eligible online votes received prior to event requiring such action. The use of any device to automate the entry process is prohibited. In the event of suspected voting irregularities, Sponsors have the right, in their sole discretion, to determine the Grand Prize contest winner. Members of winning bands will be notified by telephone and/or overnight delivery. If any prize notification is returned as non-deliverable, band may be disqualified and the prize may be awarded to the finalist band with the next highest score. Decisions of the judges/Sponsors are final and binding. **Cabo Wabo Band Ambassador Promotion: Each of the Finalist bands from the participating Hard Rock Cafe venues will be eligible to receive a Cabo Wabo sponsorship package referred to as the “Cabo Wabo Band Ambassador Program.” Beginning in mid-May, Cabo Wabo Enterprises will implement the program on behalf of the Cabo Wabo Cantina through the month of September until the final voting is completed for “A Shot at the Cabo Wabo Meltdown.” Each band will receive a list of benefits and will be asked to represent the Cabo Wabo Cantina and “A Shot at the Cabo Wabo/Cabo Wabo Meltdown” promotion whenever possible. The bands will receive co-branded banners, flyers and posters to help promote the “A Shot at the Cabo Wabo/Cabo Wabo Meltdown” program and to help drive traffic to the online voting on www.hardrock.com and www.cabowabo.com. In addition to the chance to perform at A Shot at the Cabo Wabo/Cabo Wabo Meltdown in October, the selected “Ambassador Bands” will receive other benefits like: 1. Free Cabo Wabo merchandise. 2. Free meals at Hard Rock Cafe. 3. Nokia cell phones 4. A Gibson guitar (one per band) 5. A Crate Amplifier (one per band) 6. Cds from Oasis CD 7. Collateral and promotional support from Cabo Wabo Enterprises 8. Inclusion in upcoming Guitar.com articles Prize: (1) Grand Prize: The winning band will perform for 30-45 minutes at Cabo Wabo Meltdown at Cabo San Lucas, Mexico on October 8 and October 9, 2004. Each member of the band (maximum 5 band members) will receive a trip to Cabo San Lucas, Mexico including round trip coach class air transportation from the major U.S. airport nearest band member’s residence (the Cabo Wabo Cantina will supply a full backline and, therefore, Sponsors will not pay any shipping costs for winner’s equipment to or from Cabo San Lucas) and 3 nights standard double occupancy hotel accommodations (or comparable three bedroom house). Members of the Grand Prize winning band will be required to execute and return the Affidavits/Releases before the Cabo San Lucas travel documents (i.e., plane tickets and accommodation information) will be issued. Approximate retail value of each band member’s prize is $800, depending upon location of each person’s residence. In Addition, the winning band will receive studio/production time valued at $14,000 at The Plant Recording Studios (www.plantstudios.com) in San Francisco, CA. The recording session will be subject to the studio's availability. The band will be responsible for travel and other related expenses, but will receive a $500 cash voucher to assist with expenses. Miscellaneous: By participating, entrants agree to be bound by these rules. It is understood that these Rules and Regulations and Cabo Wabo Meltdown dates are subject to change. A final hard copy of the rules will be provided by your local Hard Rock Cafe venue on or before the first round of performances. Neither the Sponsors nor anyone acting on their behalf will enter into any communications with any entrant regarding this Contest other than for finalist or winner notifications. By entering, each band member warrants and represents that the band and its members are not currently under a recording contract and that the band’s entry composition is original (i.e., not a cover), does not defame or otherwise violate the rights of any third party and does not violate any federal, state or local laws or ordinances. Entering band members further warrant and represent that the band has secured the requisite consent from any third party referenced in the band’s recorded entry and agrees that Sponsors and their designees shall have, without limitation, the non-exclusive, perpetual, royalty-free license to record, adapt, modify and exploit the entry, and the recording and composition embodied therein for trade, advertising, promotional and/or other purposes as Sponsors may determine without further consideration to the relevant band or its members. No transfer, cash redemption, or substitution of prize except by Sponsors due to prize availability and then for a prize of equal or greater value. If the scheduled A Shot at the Cabo Wabo/Cabo Wabo Meltdown concert is canceled for any reason, each band member will receive $800 in lieu of the prize. Taxes on prizes and any other expenses associated with prize not explicitly stated herein are sole responsibility of the individual winners. Entrants agree that: (1) Sponsors and their designees shall have the right and permission to use (if a winner) entrant’s name, CD recording, and photograph or likeness, as well as entrant’s voice and city of residence for advertising, publicity, trade and/or other purpose without additional compensation (unless prohibited by law); and (2) Sponsors, the participating local radio stations and each of their respective parent companies, affiliates, subsidiaries, retail locations, distributors, suppliers, advertising and promotion agencies shall have no liability and will be held harmless for any liability, loss, injury or damage to entrants or any other person or entity, including personal injury, death or damage to personal or real property, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of prize (including without limitation, the activities associated with performing in this contest or at A Shot at the Cabo Wabo/Cabo Wabo Meltdown or any travel related thereto or participation in this contest.
